Terms of Service — Amon Hen Terminal

1. Agreement to Terms

By creating an account, requesting access, or using Amon Hen Terminal ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Amon Hen LLC("Company," "we," "us," or "our").

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or via email. Continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Service Description

Amon Hen Terminal is a web-based financial research terminal that provides access to publicly available financial data through a command-driven interface. The Service includes:

• Equity research commands — Security overviews (DES), financial statements (FA), price charts (GP), historical prices (HP), company news (CN), SEC filings browser (CF), insider transactions (IT), and institutional ownership (OWN)
• Analysis tools — Earnings analysis (ERN), analyst ratings (ANR), DCF valuation (DCF), beta analysis (BETA), short interest (SI), relative value (RV), dividends (DVD), ETF holdings (MEMB), supply chain analysis (SPLC, coming soon), peer correlation (PC), graph fundamentals (GF), and industry map (IMAP)
• AI research assistant — An AI-powered financial analyst that can answer questions about your current workspace data, powered by Google Gemini
• Social features — User-to-user direct messaging and global chat (CHAT), contact/friend system, read receipts
• Workspace management — Multi-window terminal layout with draggable, resizable panels

2.1 Alpha / Pre-Release Status

The Service is currently in pre-release alpha. Features may be incomplete, unstable, or subject to change without notice. The Service may contain bugs, errors, or inaccuracies. We make no guarantees about uptime, data availability, or feature completeness during the alpha period.

2.2 Pricing & Subscriptions

The Service offers two access tiers: Free and Premium. The Free tier provides access to a limited set of commands at no charge and requires no payment information.

The Premium tier is available for a recurring subscription fee of $10.00 USD per month, billed monthly via our payment processor, Stripe. Billing begins immediately upon subscription — there is no trial period. You may cancel your subscription at any time through the Stripe Customer Portal; Premium access will continue until the end of your current billing period, after which your account will revert to the Free tier. No refunds are issued for partial billing periods.

We reserve the right to modify pricing, tier assignments, or the commands included in each tier. Active subscribers will be notified of material pricing changes at least 30 days in advance via the email address associated with their account.

3. Eligibility and Account Registration

3.1 Age Requirement

You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are at least 18 years old. If we become aware that a user under 18 has created an account, we will promptly delete the account and all associated data.

3.2 Account Registration

To use the Service, you must create an account by providing:

• First and last name
• Email address
• Username (letters, numbers, and underscores only; minimum 3 characters)
• Password (minimum 8 characters)

You must verify your email address before accessing the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3.3 Access Approval

Access to the terminal is not automatic. After account creation and email verification, you must:

• Request access by selecting your intended use case
• Receive admin approval
• Enter the 8-digit access code delivered to your email

We reserve the right to approve, deny, or revoke access at our sole discretion, for any reason or no reason. Approved access may be revoked at any time.

3.4 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update your information as needed. Accounts created with false or misleading information may be terminated.

4. Acceptable Use

4.1 You May

• Use the Service for personal financial research, education, and analysis
• Use the AI assistant to ask questions about financial data
• Communicate with other users through the chat feature (messages limited to 2,000 characters each)
• Edit or delete your own messages (deleted messages are soft-deleted and no longer visible to other users)
• Send, accept, or decline contact requests to other users
• Mute other users to hide their messages from your view
• Upload a profile avatar (compressed to 256×256 JPEG; accepted formats: JPEG, PNG, WebP; maximum upload size: 5 MB)

4.2 You May NOT

• Use the Service to provide investment advice, broker-dealer services, or act as a registered investment adviser
• Redistribute, resell, sublicense, or commercially exploit financial data obtained through the Service without appropriate licensing from the original data providers
• Attempt to circumvent rate limits, access controls, or security measures
• Use automated scripts, bots, or scrapers to access the Service (beyond normal browser use)
• Share your account credentials or access code with others
• Impersonate other users or misrepresent your identity
• Transmit malicious code, spam, or harmful content through the chat feature
• Use the chat feature to harass, abuse, threaten, or otherwise harm other users
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Interfere with or disrupt the Service or its infrastructure
• Use the Service for any illegal purpose or in violation of any applicable laws or regulations

4.3 Rate Limits

The Service enforces per-user rate limits on all API endpoints to ensure fair access for all users. Rate limits vary by endpoint (typically 10–60 requests per minute). Exceeding rate limits will result in temporary request throttling (HTTP 429 responses). Persistent or deliberate abuse of rate limits may result in account suspension.

The AI assistant is subject to additional daily quota limits imposed by the underlying AI provider (approximately 1,500 requests per day across all users). When quotas are exhausted, the AI feature will be temporarily unavailable. Individual AI conversations are limited to 50 messages, with each message capped at 10,000 characters.

5. Financial Data Disclaimer

THE SERVICE IS NOT A REGISTERED INVESTMENT ADVISER, BROKER-DEALER, OR FINANCIAL PLANNER.Nothing on this Service constitutes investment advice, financial advice, trading advice, or any other sort of advice, and you should not treat any of the Service's content as such.

5.1 Informational Purposes Only

All financial data, analysis tools, metrics, and visualizations provided through the Service are for informational and educational purposes only. They are not intended as, and should not be construed as, recommendations to buy, sell, or hold any security.

5.2 No Guarantee of Accuracy

Financial data displayed in the Service is aggregated from multiple third-party sources (see Section 7). While we strive to present accurate information, we do not guarantee the accuracy, completeness, timeliness, or reliability of any data. Data may be delayed, incomplete, or contain errors introduced during processing, normalization, or display. In particular:

• SEC EDGAR data is sourced from publicly filed documents and processed through our data pipeline. While the source filings are official, our extraction, normalization, and computation of derived metrics (e.g., ratios, TTM figures, segment breakdowns) may contain errors.
• Price and quote data may be delayed and should not be relied upon for time-sensitive trading decisions.
• Short interest data from FINRA reflects bi-weekly settlement dates and is inherently lagged.
• Analyst ratings are aggregated from third-party sources and may not reflect the most current analyst views.
• Company news is aggregated from RSS feeds and may include outdated, duplicated, or inaccurate reports.

5.3 User's Responsibility

You acknowledge and agree that:

• You are solely responsible for your own investment decisions
• You should verify all data against primary sources before making investment decisions
• Past performance does not guarantee future results
• Any reliance on information provided by the Service is at your own risk
• The DCF valuation model and other analytical tools produce estimates based on user assumptions and historical data, not predictions of future performance

6. AI-Generated Content Disclaimer

6.1 Nature of AI Responses

The AI research assistant is powered by Google Gemini 2.0. AI-generated responses are:

• Not investment advice — AI responses are generated by a large language model and should not be interpreted as professional financial, legal, or investment advice
• Not guaranteed accurate — AI models can produce incorrect, incomplete, misleading, or fabricated information ("hallucinations")
• Context-dependent — The AI assistant uses your current workspace data (active ticker, panel, and a financial data snapshot of up to 8 KB) to generate responses. The quality of responses depends on the data available
• Not stored — AI conversations are not stored by the Service. They exist only during your active browser session. Chat messages are sent to Google's Gemini API for processing (see our Privacy Policy for details)
• Sanitized inputs — Your workspace data is sanitized before being sent to the AI to prevent prompt injection, and is capped at 8 KB

6.2 Your Responsibility

You are solely responsible for evaluating and verifying any AI-generated content before relying on it. The Company assumes no liability for decisions made based on AI-generated responses.

7. Third-Party Data Sources and Attribution

The Service aggregates data from the following third-party sources. Each source has its own terms of use and limitations:

You acknowledge that:

• Third-party data providers may change, limit, or discontinue their services at any time, which may affect the availability or accuracy of data within the Service
• The Company does not control third-party data and is not responsible for its accuracy or availability
• Some data may be subject to redistribution restrictions that limit how you may use it outside the Service

8. Intellectual Property

8.1 Service Content

The Service's user interface, design, layout, command-line system, data processing pipeline, code, and branding (including the "Amon Hen Terminal" name, logo, and visual design) are the intellectual property of Amon Hen LLC and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our prior written consent.

8.2 Third-Party Data

Financial data displayed within the Service is sourced from third-party providers (see Section 7) and remains the intellectual property of the respective data providers. Your right to view this data is limited to personal, non-commercial use within the Service unless you have obtained separate licensing from the data providers.

8.3 User Content

You retain ownership of content you create within the Service, including:

• Chat messages you send to other users (limited to 2,000 characters per message)
• Your profile avatar image

By submitting content to the Service, you grant Amon Hen LLC a non-exclusive, worldwide, royalty-free license to store, display, and transmit that content as necessary to operate the Service (e.g., delivering your messages to recipients, displaying your avatar to other users).

You acknowledge that:

• Edited messages retain a timestamp indicating they were modified
• Deleted messages are soft-deleted (content is removed, but a placeholder record may persist)
• Messages you send will persist even if you delete your account (see Section 9.3)

9. User-to-User Communication

9.1 Chat Feature

The Service includes a chat feature (CHAT command) that allows you to send direct messages to other users and participate in a global chat room. You are solely responsible for the content of your messages. The Service does not actively filter, screen, or moderate user messages.

9.2 No Moderation Guarantee

The Service provides basic user controls (muting other users to hide their messages from your view) but does not actively moderate chat content. There is no blocking or reporting mechanism at this time. We are not responsible for messages sent by other users. We reserve the right, but are not obligated, to remove content or suspend accounts that violate these Terms.

9.3 Message Retention

Chat messages are stored indefinitely to maintain conversation history. Messages you send will NOT be deleted if you delete your account. Your messages will remain visible to other participants, though they will no longer be linked to an active profile. See our Privacy Policy for full details on data retention.

10. Account Termination

10.1 By You

You may delete your account at any time from the Account panel within the application. Upon deletion:

• Your profile avatar is permanently deleted from storage
• Your authentication record is permanently deleted
• Your profile data is permanently deleted
• Rate limit logs and telemetry metrics are automatically purged within hours to days
• Data pipeline requests attributed to you are disassociated
• Messages you sent to other users are NOT deleted (see Section 9.3)

10.2 By Us

We may suspend or terminate your account, or revoke your access, at any time, for any reason, including but not limited to:

• Violation of these Terms
• Abuse of rate limits or Service infrastructure
• Harassment of other users
• Fraudulent or illegal activity
• Inactivity (prolonged non-use)
• Business reasons (e.g., discontinuation of the Service)

We will make reasonable efforts to notify you of termination, but we are not obligated to do so in cases of Terms violations or security concerns.

11. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes what personal information we collect, how we use it, and your rights regarding your data. The Privacy Policy is incorporated by reference into these Terms. You can access the Privacy Policy from the landing page or within the application.

12. Disclaimers

12.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of data.

12.2 No Uptime Guarantee

We do not guarantee that the Service will be available at all times, uninterrupted, error-free, or free of harmful components. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

12.3 Alpha-Stage Risks

As the Service is in pre-release alpha, you acknowledge that:

• Features may be added, changed, or removed without notice
• Data processing pipelines may have bugs that produce incorrect results
• The Service may experience downtime, data loss, or degraded performance
• We may reset, migrate, or restructure databases, potentially affecting stored data

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMON HEN LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Financial losses resulting from investment decisions made based on data or analysis provided by the Service
• Loss of profits, data, or business opportunities
• Damages arising from AI-generated content, data inaccuracies, service interruptions, account termination, or unauthorized access to your account

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (WHICH, FOR FREE-TIER USERS, IS ZERO DOLLARS).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Amon Hen LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Content you submit through the Service (e.g., chat messages, avatar)
• Your investment or financial decisions

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.

15.2 Binding Arbitration

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitrationin accordance with the rules of the American Arbitration Association ("AAA"), to be conducted in Illinois. The arbitration will be conducted by a single arbitrator, and the arbitrator's decision shall be final and binding.

Exception — Small Claims Court: Either party may bring an individual action in small claims court for disputes within the jurisdictional limits of such court, provided the action is brought in Illinois.

15.3 Class Action Waiver

YOU AND AMON HEN LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.Unless both you and Amon Hen LLC agree otherwise, the arbitrator may not consolidate or join more than one person's or party's claims and may not preside over any form of a consolidated, representative, or class proceeding.

15.4 Injunctive Relief

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent irreparable harm.

16. DMCA / Copyright Takedown

If you believe that content posted by a user on the Service infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to our designated agent:

Your notice must include:

• Identification of the copyrighted work you claim has been infringed
• Identification of the material that you claim is infringing (e.g., a description of the chat message, username, and approximate date)
• Your contact information (name, address, telephone number, email)
• A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf
• Your physical or electronic signature

Upon receiving a valid DMCA notice, we will remove or disable access to the allegedly infringing material and notify the user who posted it. If you believe your content was removed in error, you may submit a counter-notification.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Amon Hen LLC regarding your use of the Service.

17.2 Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.

17.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

17.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
